Section 172 Statement 2026
The success of our business relies on the strength and support of our stakeholders. Building positive, responsible and long-term relationships with those who share our values is essential to us, and working collaboratively towards shared outcomes helps us create sustainable value and maintain responsible growth.

TSO Construction operates as a unified business with an aligned leadership structure that oversees both operational delivery and strategic direction. Major decisions are reviewed collectively by senior management to ensure they reflect the company’s values, our long-term goals and the broader interests of our stakeholders. Strategic planning takes place routinely throughout the year, with a formal review at least annually, where we assess our long-term objectives and consider the needs and interests of employees, customers, suppliers, communities, and the environment.
Below, we summarise how we have regard to the matters set out in Section 172 of the Companies Act 2006 when making decisions.

Employees
Our employees are core to our ability to operate safely, efficiently and responsibly, and we strive to maintain open and supportive communication with all staff. As a business that retains a hands-on culture, we are able to maintain strong individual relationships and ensure employees feel informed and valued. Regular updates, toolbox talks and team meetings support two-way communication, and we encourage staff feedback at all levels. We prioritise safety, skills, wellbeing and development throughout the business, recognising that employee engagement directly supports the long-term success of TSO Construction.

Customers
Our reputation is built on reliability, quality and trust — and these principles underpin our relationships with our clients across Hampshire and the surrounding region. Regular communication and collaboration are integral to how we deliver projects, ensuring expectations are aligned, risks are managed responsibly, and customer requirements are understood throughout each phase of work. We recognise that maintaining client trust is fundamental to our future success, and this continues to guide our operational and commercial decision-making.
Suppliers and Subcontractors
Our supply chain plays a crucial role in our ability to deliver work safely, on time and to the standards expected of us. We have long-standing relationships across the industry and seek to work with suppliers and subcontractors who share our values around safety, quality and professionalism. We understand the importance of fair treatment and reliable payment practice in supporting healthy supplier relationships and reputation within the sector. These principles help us work collaboratively, maintain loyalty and ensure continued quality in delivery.

Community and Social Responsibility
TSO Construction is proud to operate within Hampshire, and we recognise our responsibility to the communities we serve. We provide financial support and charitable contributions to a range of local causes, organisations and events that benefit families, young people and vulnerable groups. These initiatives are often proposed by our team, reinforcing our belief that social responsibility begins within the communities closest to us. We continue to build on this commitment as part of our long-term purpose and values.

Environment
We acknowledge our environmental responsibilities as a construction and groundworks business, and we are actively working to reduce our impact. We continue to evaluate our fleet, materials and operational processes to improve efficiency and reduce emissions, while exploring opportunities to expand recycling and resource reduction initiatives. Environmental impact is considered within our planning and decision-making, and we expect this to strengthen in the years ahead as we pursue more sustainable methods of working across our operations.

Long-Term Decision Making
TSO Construction’s leadership takes a long-term view when setting strategy and considering major business decisions. Stakeholder interests are taken into account through regular planning sessions, operational reviews and structured discussions with clients, suppliers and employees. This approach ensures we remain commercially sustainable, socially responsible and aligned with our values, while positioning the business for continued long-term success.
